A non-disclosure agreement (NDA) is a contract in which anyone who receives confidential information agrees not to share it or use it outside the agreed purpose. This NDA template has two versions: between companies (mutual or one-way) and with an employee. You type the parties and the purpose, choose the confidentiality period, then switch on the clauses you need, and the agreement updates in the preview.
The agreement defines confidential information and sets the obligation, exceptions, term, return of information and governing law. In the example, confidentiality lasts two years from the last disclosure. The text is a draft to review with a legal adviser before signing.
How to use the NDA template
- Choose a tab: Between companies for a supplier, partner or investor, or With an employee.
- Choose Mutual when both sides share information, or One-way when only one does, then the confidentiality period.
- Type the parties and the purpose. In Advanced mode add the representatives, commercial registration numbers and examples of the confidential information in your relationship.
- Switch optional clauses on or off from the clause list, then download the draft and review it with your adviser.
What a non-disclosure agreement is
There are two kinds. In a mutual NDA both parties are bound, such as two companies studying a partnership. In a one-way NDA only the recipient is bound, such as a developer who sees a store's customer data, or an investor reading the financial statements before deciding. Its value is that it records in writing that the information is confidential and that the recipient knew and accepted this before seeing it.
NDA template: what to include
| Clause | What it says |
|---|---|
| Confidential information | What counts as confidential, with examples from the relationship rather than a general phrase |
| Obligation | No disclosure, use for the purpose only, access limited to people who need it |
| Exceptions | Public information, information the recipient already had, and disclosure required by law |
| Term | Two, three or five years from the last disclosure; for employees, during employment and after |
| Return of information | Return or destruction when the purpose ends, confirmed in writing |
| Breach and governing law | A claim for compensation, the governing law, and the competent court |
Download the agreement as Word to edit the clauses with your adviser, or as PDF to sign once the text is agreed. Always have a lawyer review the final agreement under Saudi law.
When to ask for an NDA
Before you send a business plan, a customer list, purchase prices or source code to an outside party; when you hire a supplier, agency or developer who will access your data; and when an employee will see costs and contracts. Sign it before the first meeting where the information is shown, not after.
Common mistakes
- A definition so broad that everything is confidential, which makes a breach hard to prove.
- Choosing Mutual when information flows from one side only.
- Signing after the information has already been shared.
- Adding a non-compete clause to an employee agreement without legal review.
Legal notes
This text is general wording, not legal advice, and the page does not guarantee that the agreement is enforceable or suitable for your case. The governing law clause refers to the laws of the Kingdom of Saudi Arabia without citing specific articles. A post-employment non-compete clause is restricted under the Saudi Labor Law, so review it with a legal adviser before adding it.

Frequently asked questions
Is an NDA template enough without a lawyer?
The template is a starting point, not a final text. Have a legal adviser review the clauses before signing, especially when the information is valuable or a party is based abroad.
How long should confidentiality last in an NDA?
As long as the parties agree. In this template you choose two, three or five years from the last disclosure; in the employee version it runs during employment and for the same period after it ends.
Is there an Arabic version of this NDA?
Yes. The Arabic page has the same agreement in both versions written in Arabic, with masculine or feminine wording for the employee. The link is below the template.
Is the NDA template free?
Yes. Filling it in and downloading the draft as Word, PDF or a blank form are free. The page asks for your details once before the first download.
