Microtec is the owner and operator of the Enterprise Resource Planning (ERP) system service (“the service”). Your use of the service is conditional upon your acceptance of these terms and conditions of Microtec (“the terms and conditions”). By using the service, you acknowledge and agree without condition to be legally bound by these terms and conditions. No other terms or conditions, whether in any document, writing, or other communication from you to Microtec or its employees, representatives, or agents, regarding the service, will be applicable or binding on Microtec.
Changes to this Agreement or Services
Microtec reserves the right to modify these terms and conditions at any time. These changes will be effective and binding upon you once posted on our service website or when we make reasonable efforts to notify you through other means. Please review these terms and conditions from time to time to ensure you are aware of any changes. Your continued use of the service after the modified terms and conditions have been posted on this site, or after being notified by any other means, means that you agree to the changes and accept to be legally bound by them.
Granting Licenses to Use the Service

i. iii. You agree not to provide access to the service or any part of it to any third party, or to modify, disable, or interfere with the service or its supporting servers or networks.
B. Microtec retains all rights in the service not expressly granted to you in these terms and conditions.
Payment Terms
A. By creating your account and subscribing to the service or renewing your subscription, you acknowledge that you agree to the fees imposed by Microtec for the services or products you request.
B. You may be required to pay fees in advance or according to an annual, semi-annual, quarterly, or monthly subscription period to use the service. Your subscription may automatically renew at or near the subscription expiration date, based on the fees applicable at the time of renewal.
C. All amounts owed to Microtec may be subject to taxes or other charges imposed by relevant authorities, and you agree to pay these amounts if applicable.
Duration and Termination of the Agreement
A. Microtec reserves the right to terminate its relationship with you without prior notice if you breach or fail to comply with any provision of these terms and conditions.
B. Upon termination of the relationship, Microtec may retain any data you have uploaded to the system, but is not obligated to keep it after the service is terminated.
Your Data, Microtec’s Data, and Privacy Policy
A. You, your clients, partners, or any other related parties are the owners of the data you upload to the service (“Your Data”). Other data generated by the service, such as aggregated data or data resulting from the use of the service by all users, remains the property of Microtec (“Microtec’s Data”).
B. You agree that Microtec may use Microtec’s Data in various ways to improve the services or create new products and services.
Your Account and Password
A. It is your responsibility to keep your password or login details provided by Microtec to access the service confidential.
B. You are responsible for all activities that occur using your account or data, whether by another person or by authorized persons you allow.
Indemnification of Microtec
You agree to indemnify and hold Microtec harmless from any claims, losses, costs, or damages resulting from your use of the service or your breach of any of these terms and conditions.
Service Level Agreement
The Service Level Agreement attached to these terms and conditions is an integral part of these terms.
No Warranties
Unless otherwise expressly stated, Microtec makes no warranties regarding the service, the website, or the materials available on the website. All services and content are provided “as is.”
Limitation of Liability
To the maximum extent permitted by law, Microtec will not be liable for any damages or losses resulting from your use of the service or any technical issues or delays in performance.
